This End-User Licence Agreement ("Agreement") governs use of Invoice Generation via API (the "App") provided by Essntl Ltd, Office 1, 2a Curzon Road, London W5 1NF, United Kingdom ("Licensor").
The App is an internal tool licensed solely to Essntl Ltd and its authorised personnel ("Users") for connecting the company's own QuickBooks Online account to an AI assistant. It is not offered for sale or use by any other party.
Licensor grants Users a non-exclusive, non-transferable, revocable licence to use the App for Essntl Ltd's internal business purposes. The underlying software is the open-source QuickBooks Online MCP Server published by Intuit and is used under its own open-source licence.
Users must not (a) use the App with any QuickBooks company other than Essntl Ltd's, (b) disclose the App's OAuth credentials, (c) use the App in violation of Intuit's Terms of Service for developers, or (d) use the App for any unlawful purpose.
Data accessed through the App is governed by Intuit's terms and by our Privacy Policy. Users remain responsible for the accuracy of any records they create or modify through the App.
The App allows an AI assistant to create and update accounting records on a User's instruction. Users are responsible for reviewing such actions. Licensor provides no warranty as to the correctness of AI-generated output.

Licensor may revoke this licence at any time. On termination, Users must disconnect the App from QuickBooks Online and delete stored credentials.
The App is provided "as is". To the fullest extent permitted by law, Licensor excludes all warranties and shall not be liable for any indirect or consequential loss arising from use of the App.
This Agreement is governed by the laws of England and Wales.
